File Articles of Incorporation with the Washington Secretary of State. The filing fee is $30 for nonprofit corporations. You must also designate a registered agent with a physical address in Washington.

Apply for IRS Tax-Exempt Status

$275-$600 IRS fee

File Form 1023 (or Form 1023-EZ for smaller organizations) with the IRS. Processing takes 3-12 months. Washington does not have a separate state tax-exemption application — federal determination is sufficient.

Register for Charitable Solicitation

$60 initial + $40/year renewal

Washington requires charities to register with the Secretary of State's Charities Program before soliciting donations. Annual registration renewal is required. Filing is done through the Charities Trust Filing System.

File Annual Reports

$10/year

Washington nonprofits must file an annual report with the Secretary of State. The fee is $10 for nonprofit corporations. Separately, you must file Form 990 with the IRS.

Establish Governance

No direct cost

Washington requires a minimum of one director for nonprofit corporations. However, best practices recommend at least three board members. You must adopt bylaws and maintain corporate records.

Obtain Insurance

General liability and D&O insurance are strongly recommended. Washington does not require nonprofit insurance by law, but operating without it exposes board members and the organization to significant risk.
